Acceptance of Terms

Welcome to IronHaven B.V. ("IronHaven", "we", "our", or "us"). These Terms of Service ("Terms") govern your use of our website at ironhaven.world and our financial advisory services for college students.

By accessing our website or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you may not access our website or use our services.

IronHaven is a private limited company (Besloten Vennootschap) incorporated in the Netherlands with registration number KvK46231657, registered office at Kerkstraat 147, 1056 DW Amsterdam, Netherlands.

Description of Services

IronHaven provides financial education and advisory services specifically designed for college students, including but not limited to:

• Budget planning and money management guidance
• Savings and investment education
• Student debt management advice
• Financial literacy education programmes
• Personalised financial consultations
• Educational resources and tools

Our services are educational and advisory in nature. We do not provide regulated financial advice as defined by Dutch financial services law, nor do we manage investments or handle client funds directly.

All service descriptions, pricing, and availability are subject to change at our discretion with reasonable notice to existing clients.

User Responsibilities and Conduct

When using our services, you agree to:

• Provide accurate and complete information about your financial situation
• Use our services only for lawful purposes and in accordance with these Terms
• Respect the intellectual property rights of IronHaven and third parties
• Not share your account credentials or access with unauthorised persons
• Notify us promptly of any changes to your contact information or circumstances
• Treat our staff and other users with respect and professionalism

You must not:

• Use our services for any illegal or unauthorised purpose
• Attempt to gain unauthorised access to our systems or data
• Interfere with or disrupt our services or servers
• Transmit viruses, malware, or other harmful code

Payment Terms and Cancellation

Payment for our services is due in advance according to the payment schedule agreed upon in your service agreement. We accept various payment methods as specified during the booking process.

Subscription Services:

• Monthly subscriptions are billed in advance on the same date each month
• You may cancel your subscription at any time with 30 days' written notice
• Cancellation takes effect at the end of your current billing period
• No refunds are provided for partial months or unused services

One-time Services:

• Payment is due before or at the time of service delivery
• Cancellations must be made at least 24 hours before scheduled appointments
• Late cancellations may incur a fee equal to 50% of the service cost

We reserve the right to suspend or terminate services for non-payment after reasonable notice and opportunity to cure.

Intellectual Property

All content on our website and in our services, including but not limited to text, graphics, logos, images, software, and educational materials, is the property of IronHaven or our licensors and is protected by Dutch and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use our services for your personal, non-commercial use only. You may not:

• Copy, modify, distribute, or create derivative works from our content
• Use our content for commercial purposes without written permission
• Remove or alter any copyright, trademark, or other proprietary notices
• Reverse engineer or attempt to extract source code from our software
• Use our trademarks or brand names without authorisation

Educational materials provided to you as part of our services may be used for your personal financial education but may not be shared, distributed, or used for commercial purposes.

To the fullest extent permitted by Dutch law, IronHaven, its directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services, including but not limited to:

• Financial losses resulting from following our guidance or advice
• Errors or omissions in our content or services
• Interruption or unavailability of our services
• Loss of data or information
• Third-party actions or decisions

In no event shall our total liability to you exceed the amount you have paid to IronHaven in the twelve months preceding the claim.

Some jurisdictions do not allow the limitation of liability for incidental or consequential damages, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless IronHaven, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from or related to:

• Your use of our services or violation of these Terms
• Your violation of any law or regulation
• Your violation of any rights of third parties
• Any false or misleading information you provide to us

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts of Amsterdam, Netherlands.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Termination

Either party may terminate the service relationship at any time with appropriate notice as specified in your service agreement. We reserve the right to terminate or suspend your access to our services immediately if you violate these Terms or engage in conduct that we deem harmful to our business or other users.

Upon termination:

• Your right to use our services will cease immediately
• You remain responsible for any outstanding fees or charges
• We may retain your data as required by law or legitimate business purposes
• Provisions regarding intellectual property, liability, and governing law shall survive termination

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new Terms.

If you do not agree with any changes, you may terminate your service agreement in accordance with the termination provisions outlined above.

Entire Agreement
